Background/Description of the Disclosure
Please be informed that at the meeting of the Executive Committee held today, May 31, 2022, with the authority delegated by the Board of Directors of PHINMA Corporation, the following matters were approved:
1. Issuance and sale of Fourteen Million Four Hundred Fifty Thousand One Hundred Seventy-nine (14,450,179) Treasury Shares to the general public through the Philippine Stock Exchange, Inc. and its trading facilities, at the minimum selling price of Nineteen Pesos and Fifty Centavos (Php19.50) per share.
2. One-time denial of pre-emptive rights of stockholders on and in connection with the sale of its Treasury Shares, subject to approval by shareholders at a Special Stockholders' Meeting to be held on July 14, 2022.
3. Date, time and agenda for the Special Stockholders' Meeting to be held virtually on Thursday, July 14, 2022 at 2:30 pm. with record date of June 20, 2022.
