The definitive merger agreement involves an all cash transaction with a total equity value of approximately $2 billion, including assumption of debt.

The investigation centers on whether Collective Brands shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Collective Brands stock, and whether Collective Brands' board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, the acquisition price represents only a small premium of approximately 2% over the closing price of Collective Brands the day prior to the buyout announcement. Further, the acquisition price is below the price Collective Brands was trading at just last year ($23.44 on February 18, 2011). "Due to the lack of a significant premium to the shareholders and other factors, we believe that the transaction may undervalue Collective Brands/PSS stock.
