OSX BRASIL S.A. Rio de Janeiro, January 08th, 2016 - OSX Brasil S.A. - em Recuperação Judicial ("OSX" ou Companhia") (BM&FBovespa: OSXB3), in accordance with article 157, paragraph 4 of Brazilian Law No. 6.404/76 and CVM Rule No. 358/02, hereby informs to its shareholders and to the market that, in connection to the material fact released by the Company on November 19th, 2014, the totality of 8.033.975 shares issued by OGX Petróleo e Gás S.A. held by OSX WHP 1 & 2 Leasing B.V., a Company's subsidiary, were transferred to Wisdery S.A., subsidiary of Techint, in accordance with the engineering, procuring, construction and installation contract regarding the two well head platforms, WHP-1 and WHP-2, signed by the parties on November 15th, 2014.
Under the Company's restructuring scenario, this fact illustrates the Company's ability to continue its operations, seeking to fulfill the commitments made to third parties.
