Notice to the Market

Rio de Janeiro, May 17th , 2016 - OSX Brasil S.A. - Em Recuperação Judicial ("OSX" or "Company") (BM&FBovespa: OSXB3), in compliance with Article 12 of CVM Instruction no. 358/02, informs to its shareholders and the market that regarding notice released on May 11th 2016, the Company has received the information that the shareholder Mr. Roberto Lombardi de Barros does not hold a number that excess 5% of the Company's indirect interest shares anymore, as well as the investment fund LEGEND W FUNDO DE INVESTIMENTO MULTIMERCADO - CRÉDITO PRIVADO - INVESTIMENTO NO EXTERIOR that also does not hold a number that excess 5% of the direct interest shares of OSX's total capital, as detailed below.

Informa que, por esse razão, o Fundo Legend, isoladamente, não possuiu participação direta superior a 5%.
