12TH & 13TH ANNUAL GENERAL MEETING: RESOLUTIONS PASSSED THEREAT

At the 12th& 13thAnnual General Meeting of the company held on the 8thday of November, 2022,held at the Golden Gate Restaurant, 25B Glover Road, Ikoyi, Lagos; it was proposed to be resolved and was accordingly resolved as follows:

1. That the Audited Financial Statements of the company as at

1. December 2020, and 31 December 2021, together with the Reports of the Directors and the Auditors submitted to the meeting is hereby received and adopted.

1. That Mr. Temidayo Seriki offering himself for election as a Director of the Company is hereby elected.
2. That the retiring Directors offering themselves for re-election are hereby re-elected.
3. That the resignation of Otunba Dr. S. A. Oladunni and Prof. Ayodele Ogunye from being Directors in the Company is hereby accepted.

That the Directors be and are hereby authorized to raise capital by allotting the unissued 4, 058, 210, 528 Ordinary Shares through such methods as the Directors may deem fit, whether by way of Rights Issue, Public Offer, Private Placement, Issuance of other Capital or Money Market Instruments, conversion of Debt to Equity, Book Build and/or other Securities at such time, such consideration and upon such terms and conditions as the Directors may deem fit, for the purpose of strengthening the capital base of the Company.
