NOTICE TO THE MARKET

ODONTOPREV S.A. informs that the acquisition of Grupo Papaiz, as per our Notice to the Market of September 28th, 2012, was signed today, after the fulfillment of pre-required conditions and CADE´s (Administrative Council for Economic Defense) approval, without restrictions, as published officially on December 28th, 2012.
With the conclusion of the operation, a Shareholder´s Agreement of Papaiz Associados Diagnósticos por Imagem S.A. was signed between Fleury CPMA and Clidec, where Fleury and OdontoPrev are consenting parties, in order to regulate certain aspects of their relationship as controlling shareholders of Papaiz.
