INCORPORATION OF SUBSIDIARY

The Board of Directors (the "Board") of NutryFarm International Limited (the "Company", and together with its subsidiaries, the "Group") wishes to announce that the Company has incorporated a new wholly-owned subsidiary in Singapore, Global Agricapital (Singapore) Pte Ltd (the "Subsidiary"), with an initial issued and paid-up capital of S$100,000 to be wholly held by the Company's wholly-owned subsidiary, Global Agricapital Holdings Pte Ltd.

The principal activities of the Subsidiary include, but are not limited to, the following:

1. Wholesale of fruits and vegetables (including fresh and frozen); and
2. Other canning and preserving of fruits and fruit juices.

The incorporation of the Subsidiary was funded through internal resources and is expected to have a positive impact on the earnings per share or net tangible assets per share of the Group for the current financial year ending 30 September 2022.

None of the Directors, substantial shareholders or controlling shareholders of the Company has any interest, direct or indirect in the incorporation of the Subsidiary, other than through their respective interest (if any) in the Company.
