NORTH ASIA STRATEGIC HOLDINGS LIMITED Zhang Yifan proposed to acquire an additional 37.60% stake in North Asia Strategic Holdings Limited (SEHK:8080) for HKD43 million on June 28, 2024. A cash consideration valued at HKD 0.25 per share will be paid by the buyer. As part of consideration, an undisclosed value is paid towards common equity of North Asia Strategic Holdings Limited.
Zhang Yifan intends to finance the Offers by way of its internal resources and the Facility. The Board of Directors of North Asia Strategic Holdings Limited formed a special committee for the transaction. YU MING INVESTMENT MANAGEMENT LIMITED acted as financial advisor to Zhang Yifan.
