CLEANSING NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT


MZI Resources Ltd (ASX:MZI) (Company) advises that it has allotted 3,646,902 fully paid ordinary shares to a sophisticated investor at a price of $0.3588 per share on 7 January 2016.


The Company hereby gives notice pursuant to Section 708A(5)(e) of the

Corporations Act 2001 (Cth) (Corporations Act) that:

  1. The securities were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

  2. As at the date of this notice:

    1. the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company;

    2. the Company has complied with section 674 of the Corporations Act; and

    3. there is no information that is "excluded information" within the meaning of Sections 708A(7) and 708A(8) of the Corporations Act.
