MONETA Money Bank, a.s. (SEP:MONET) entered into a framework agreement to acquire Air Bank a.s., Zonky s.r.o. and Czech and Slovak businesses of Home Credit from Tanemo a.s., Home Credit Group B.V. and Home Credit International A.S. for CZK 24.9 billion on May 6, 2021. As per the update on November 18, 2021, a revised agreement has been signed between the parties. As per the revised changes, Air Bank a.s., will no longer part of the transaction. Under the terms, CZK 2.59 billion to be paid from excess capital of MONETA Money Bank, a.s., CZK 23.31 billion to be paid from proceeds of newly issued MONETA Money Bank, a.s., shares consisting of 291.375 million shares issued at CZK 80 per share and paid for by PPF Group in cash. The transaction is subject to a shareholder approval at an Extraordinary General Meeting, relevant regulatory approvals by the Czech National Bank and National Bank of Slovakia and an antitrust approval by the European Commission. As of June 22, 2021, shareholders of MONETA Money Bank, a.s. has approved the issuance of transaction but rejected the financing of the transaction. The transaction is expected to close on October 1, 2021. As on November 18, 2021, 80% of the transaction will be financed through increasing MONETA's equity capital (i.e., registered share capital and share premium) via issuance of new shares while fully preserving the statutory pre-emptive rights of all MONETA shareholders. The remaining, at a maximum, 20% of the purchase price will be financed from MONETA's excess capital. Revised agreement needs to get approval from the shareholders of MONETA Money Bank, a.s. in meeting on December 20, 2021. Institutional Shareholder Services (ISS) has recommended that Moneta shareholders vote in favor of the proposed acquisition of Air Bank Group. In addition, ISS also recommends that shareholders vote in favor of the capital increase of Moneta, including the related amendment to the Articles of Association. As of December 9, 2021, Glass Lewis, another global proxy adviser, has recommended that Moneta shareholders vote in favor of transaction, including financing the transaction through a capital increase. As of December 20, 2021, Shareholders of MONETA Money Bank, a.s. have approved the transaction. As of April 28, 2022, MONETA Money Bank is expected to close the transaction in third quarter of 2022.
