General Meeting of MONETA Money Bank approved distribution of 2022 net profit, Kateřina Jirásková from PPF becomes the new member of the Supervisory Board
Prague, 25 April 2023
The General Meeting approved the distribution of 2022 net profit of MONETA Money Bank, a.s. ("the Bank") in the total amount of CZK 4.7 billion, the consolidated and separate financial statements and the Remuneration Report of the Bank's Management and Supervisory Boards members. The shareholders elected Ms. Kateřina Jirásková from PPF to fill the vacant position on the Bank's Supervisory Board.
The Bank's net profit of CZK 4.7 billion will be distributed among the shareholders as a dividend of CZK 8 per share, i.e, in the total amount of CZK 4.1 billion. The remaining CZK 0.6 billion will be transferred to the account of retained earnings from previous years. The shareholders who are registered in the Central Securities Depository as shareholders of the Bank on the record date of 2 May 2023 will be entitled to receive the dividend. The dividend will be paid to the shareholders via bank transfer on 25 May 2023.
The shareholders also elected Ms. Kateřina Jirásková as a new member of the Bank's Supervisory Board. Ms. Jirásková was nominated to the Supervisory Board by the Bank's Management Board following a nomination by a major shareholder and after a positive assessment by the Nomination Committee of the Bank's Supervisory Board. Ms. Jirásková has extensive experience in executive and non-executive roles within PPF Group, in both financial and other sectors. She currently serves as Chief Financial Officer of the entire PPF Group and as the Chairwoman of the Management Board and Chief Operating Officer of PPF a.s. She is also a member of the Management Board of PPF Financial Holdings a.s. and the Chairwoman of the Board of Directors of the PPF Foundation.
The General Meeting also approved the Bank's consolidated and separate financial statements for 2022. Subsequently, the shareholders approved Deloitte as the Bank's auditor for 2023. The General Meeting also approved the Remuneration Report of the Bank's Management and Supervisory Boards members for 2022.
Today's General Meeting was attended by shareholders holding 70.95 percent of the shares authorised to vote, thus the General Meeting was quorate.
