FATO RELEVANTE

SUSPENSÃO DA DECISÃO QUE DECRETOU FALÊNCIA DE SUBSIDIÁRIA

A MMX MINERAÇÃO E METÁLICOS S.A. - EM RECUPERAÇÃO JUDICIAL ("Companhia" ou "MMX"), em atendimento ao artigo 157, parágrafo 4º, da Lei nº 6.404/76 e à Instrução CVM nº 358/02, em sequência aos Fatos Relevantes divulgados em 06 de maio de 2021, vem prestar aos seus acionistas e ao mercado as seguintes informações:

1. Nesta data (i.e.24 de maio de 2021), a Companhia tomou conhecimento de decisão ("Decisão") da 6ª Câmara Cível do Tribunal de Justiça do Estado de Minas Gerais, em sede do agravo de instrumento nº 1.0024.14.298866-6/041, interposto pela Companhia, por meio da qual o Desembargador Relator suspendeu liminarmente a decisão da 1ª Vara Empresarial da Comarca de Belo Horizonte que havia decretado a falência da MMX Sudeste Mineração S.A. ("MMX Sudeste") no âmbito do Processo de recuperação judicial nº 2988666-18.2014.8.13.0024, conforme fato relevante divulgado pela Companhia em 06 de maio de 2021, às 14h18.
2. A Decisão, cujo inteiro teor segue em anexo, considerou que a decisão de convolação da recuperação judicial em falência não poderia ter sido proferida sem a prévia manifestação da MMX Sudeste sobre as alegações apresentadas pelo Administrador Judicial acerca de suposto descumprimento do plano de recuperação judicial.
3. A Decisão do Desembargador Relator está sujeita a recurso. Além disso, é importante ressaltar que o agravo de instrumento nº 1.0024.14.298866-6/041 ainda será julgado de forma colegiada pelo Tribunal de Justiça do Estado de Minas Gerais, após resposta do Administrador Judicial e parecer da Procuradoria de Justiça.
4. A Companhia manterá os acionistas e o mercado devidamente informados, nos termos da regulamentação da CVM.

MATERIAL FACT

SUSPENSION OF DECISION OF BAKRUPTCY OF SUBSIDIARY

The MMX MINERAÇÃO E METÁLICOS S.A. - EM RECUPERAÇÃO JUDICIAL ("Company" or "MMX"), in compliance with Article 157, paragraph 4th, of Law No. 6.404/76, and the Rule CVM No. 358/02, following the Material Facts released on May 6th, 2021, hereby informs its shareholders and the market the following:

1. On this date (i.e., May 24th, 2021), the Company became aware of a judicial decision ("Decision") of the 6th Civil Chamber of the Court of Justice of the State of Minas Gerais, in the scope of the Appeal No. 1.0024.14.298866-6/041, presented by the Company, through which the Reporting Judge suspended in advance the decision of the 1st Business Court of the District of Belo Horizonte, which had decreed the bankruptcy of MMX Sudeste Mineração S.A. ("MMX Sudeste"), in the scope of the judicial restructuring Process No. 2988666-18.2014.8.13.0024, as informed in the relevant fact disclosed by the Company on May 6th, 2021, at 2:18 pm.
2. The Decision, the content of which is made available as an attachment hereto, considered that the decision to convert the judicial restructure into bankruptcy could not have been rendered without the prior manifestation of MMX Sudeste on the allegations presented by the Judicial Administrator regarding the alleged non- compliance with the judicial restructure plan.
3. The Decision of the Reporting Judge is subject to appeal. In addition, it is important to note that the Appeal nº 1.0024.14.298866-6/041 will still be judged by a collegiate of the Court of Justice of the State of Minas Gerais, after the response of the Judicial Administrator and the opinion of the Attorney General's Office.
4. The Company will keep its shareholders and the market duly informed, in compliance with CVM's regulations.
