Item 8 - Amend company by-laws

The amendment of the Company's By-laws will be proposed to the Shareholders Meeting with the main purpose of incorporating a clause that, in accordance with Article 48 of the Mexican Securities Market Law, will regulate any acquisition of the Company's shares in excess of 10% of its total issued and outstanding capital stock.

Such provision is intended to establish that the direct or indirect acquisition by any person or group of persons, through the stock market or otherwise, within Mexican territory or abroad, by means of a single transaction or consecutive transactions, in excess of 10% of the total issued and outstanding capital stock of the Company must be previously approved by the Board of Directors of the Company.

The proposed amendment will regulate the process through which any such shares acquisition approval request shall be submitted to and granted by the Board of Directors, consistent with legal applicable requirements and with common use and practice by other Mexican companies listed in the stock exchange.


Biographies of the Board Members:

Juan Pablo del Valle Perochena holds a degree in Engineering from the Universidad Anáhuac, and he has a MBA from the Harvard Business School. He is the founder of Grupo Modelo Progresivo, S.A. de C.V. He has been member of Mexichem's Board of Directors since 2002, and in April 2011 he was elected Chairman of the Board of Mexichem, S.A.B. de C.V. Ricardo Gutiérrez Muñoz holds a degree in Accounting from Instituto Politécnico Nacional and a Masters in Business Administration from Universidad La Salle and has been a member of the board of directors of Mexichem since 2000. In addition, he is a member of the boards of directors of several Mexichem subsidiaries. Mr. Gutiérrez Muñoz has been recently appointed President of the Executive Committee of Mexichem, after been the Chief Executive Officer of Mexichem for 15 years.

Jaime Ruíz Sacristán holds a degree in Business Administration from the Universidad Anáhuac and is a member of the boards of directors of Mexalit, S.A. de C.V., Banco Ve por Más, S.A., Institución de Banca Múltiple, and Casa de Bolsa Arka, S.A. de C.V.

He was worked as CEO of Grupo Financiero Serfin, Executive Vice-president of of Grupo Santander and currently he is the Corporate Vice-president of Grupo Televisa.

Guillermo Ortiz Martínez holds a degree in Economics from Universidad Nacional Autónoma de México and has a Ph. D. in Economics from Stanford University. He worked as governor of the Mexican Central Bank and he was appointed as minister of the Treasury Ministry. Currently, he is the president of the Board of Director of Grupo Financiero Banorte.
