PASSING AWAY OF THE CHAIRMAN OF THE BOARD

The board (the "Board") of directors (the "Directors") of Mayer Holdings Limited (the "Company") announces with deepest sorrow that Mr. Cheng Yuk Ping ("Mr. Cheng"), the Chairman of the Board, an executive Director, and the chairman of the nomination committee of the Board (the "Nomination Committee"), passed away on 28 February 2021.

The Board is deeply saddened by the passing of Mr. Cheng. On behalf of the Company, the Board wishes to express its sincere appreciation to Mr. Cheng for his valuable leadership, guidance and contribution to the Group. The Board wishes to convey its heartfelt condolences to Mr. Cheng's family and relatives.

APPOINTMENT OF CHAIRMAN OF NOMINATION COMMITTEE

The Board would like to announce that with effect from 2 March 2021, Mr. Xu Lidi, an executive Director, has been appointed as the chairman of the Nomination Committee.
