Item 8.01 Other Events.
As previously announced, Juniper II Corp. (the "Company") entered into
non-redemption agreements with 11 unaffiliated parties relating to an aggregate
of 4,200,000 shares of the Company's Class A common stock, par value $0.0001 per
share ("Common Stock"), in connection with certain proposals to be presented at
the Company's special meeting in lieu of Annual Meeting of stockholders (the
"Special Meeting") to be held on May 2, 2023. As of the Special Meeting
redemption deadline, an aggregate of 25,127,993 shares of Common Stock were
submitted for redemption and not withdrawn, and 4,772,007 shares of Common Stock
will remain outstanding after such redemptions are completed.
