Concluding a preliminary sale agreement of real estate perpetuity's right

The Management Board of Impexmetal S.A. ('Issuer') informs that on 10 November 2015 the company Eastside-Bis Spółka z o.o. (Seller) concluded a preliminary sale agreement of real estate perpetuity's right and ownership of buildings located on the real estate at 7/9 Łucka Street in Warsaw (land register no WA4M/00138157/6) together with a building project of multifunctional unit (offices, service- appartments part) on this real estate. The subject of the contract is undertaking of parties to conclude a promised sale agreement up to 16 December 2015 for the amount of PLN 87.8 million.

The keys precedent conditions are:

  1. legally valid transfer of administrative decisions (including building permit) and building project for this real estate for the separate special purpose vehicle (SPV),

  2. expirations of lease agreements burdened of the real estate,

  3. concluding by the Purchaser of insurances agreements regarding legal title to the property as well as statements and assurances of the Seller.

The preliminary agreement does not include other provisions differed from those of commonly used for these types of contracts.

Impexmetal S.A. basing on agreement concluded between the Company's shareholders conducts the operational control over Eastside-Bis Spółka z o.o.

No affiliations occur between the Issuer and its managing or supervising persons and the Seller.
