HMV GROUP PLC (the "Company")

Result of General Meeting (the "GM")

The Board of HMV Group is pleased to announce that at the GM of the Company, held on 15 August 2012, the special resolution, proposed in the Notice of General Meeting and put to the shareholders at the GM, to transfer the Company's listing category on the Official List of the UK Financial Services Authority from a premium listing (commercial company) to a standard listing (shares) (the "Transfer of Listing") was duly passed.

The results of the poll held at the GM are shown below:-

Issued share capital at 15 August 2012 was 423,587,057 ordinary shares.

Following shareholder approval, the Company will submit its application for the Transfer of Listing to the UK Listing Authority shortly. Accordingly, the Company expects the Transfer of Listing to take effect on or around 17 September 2012.

An explanatory circular was submitted to the National Storage Mechanism on 26 July 2012 and is available for inspection atwww.hemscott.com/nsm.do and on the Company's website (along with the Notice of GeneralMeeting).

In accordance with the Listing Rules (9.6.2R) a copy of the resolution passed at the GM, has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
