Further to our announcement on 12 May 2010 and 30 June 2010, the Board of Directors of HELP International Corporation Berhad ("HELP or the Company”) wish to announce that the Company has on 30 September 2011 entered into a Deed of Mutual Termination with Asia Pacific Land Berhad (“AP LAND”) to terminate the Joint Venture And Working Agreement and Shareholders Agreement executed on 12 May 2010 and 28 June 2010 respectively in relation to the formation of the joint venture company, Hexa Megan Sdn Bhd (“HMSB” or “JV Company”) for the purpose of conducting and providing quality education in jurisdiction deemed viable across the whole spectrum of educational levels and fields in any country including Malaysia and China.

Following up on the proposed disposal of AP LAND‘s educational services subsidiary company, Khas Cergas Sdn Bhd, the purpose of the JV Company is deemed no longer synergistic to HELP.

Upon termination, HELP will dispose the one ordinary share of the Company in HMSB to AP LAND for Ringgit Malaysia One (RM1.00) only. HMSB shall cease to be a joint venture company of HELP.

The termination will not have any material effect on the earnings per share and net assets per share of the Company for the financial year ending 31 October 2011.

None of the Directors, major shareholders or persons connected with the Directors and/or major Shareholders of HELP has any interest, direct or indirect in the above transaction.

The termination is not subject to the approval of the shareholders or any other relevant authorities.

The Board of Directors of HELP having considered all aspects of the termination is of the view that the termination is fair and reasonable and in the best interest of the Company.
