CLARIFICATION ANNOUNCEMENT

Reference is made to the announcement jointly issued by Road Shine Developments Limited (the ''Offeror'') and Global Tech (Holdings) Limited (the ''Company'') on 8 January 2016 (the ''Joint Announcement'') in relation to, among other things, the delay in despatch of the Composite Document. Capitalised terms used herein have the same meanings as defined in the Joint Announcement unless the context otherwise requires.

The Offeror and the Company wish to clarify that certain changes have come to the attention of the Offeror after the publication of the Joint Announcement. There have been changes to the board of CITIC Guoan Group* as follows:

1. 崔付軍先生 (Mr. CUI Fujun) and 張振新先生 (Mr. ZHANG Zhenxin) resigned as directors on 21 December 2015;

2. 譚霖高先生 (Mr. TAN Lingao) and 張濤先生 (Mr. ZHANG Tao) resigned as directors on 28 December 2015;

3. 陳釗先生 (Mr. CHEN Zhao) and 李奇文女士 (Ms. LI Qiwen) were appointed as directors on 21 December 2015;

4. 李震濤先生 (Mr. LI Zhentao) and 毛德一先生 (Mr. MAO Deyi) were appointed as directors on 28 December 2015.

Accordingly the responsibility statement relating to the board of directors of CITIC Guoan Group* in the Joint Announcement should read as follows:

''As at the date of this joint announcement, Ms. XIA Guilan, Mr. LI Jianyi and Mr. DU Jun are the directors of the Offeror. The board of directors of CITIC Guoan Group* comprises Mr. LI Shilin, Mr. LUO Ning, Mr. LI Rongxiang, Ms. XIA Guilan, Mr. LI Jianyi, Mr. GUAN Weidong, Mr. LI Zhentao, Mr. MAO Deyi, Mr. CHEN Zhao, Ms. LI Qiwen, Mr. GUAN Xin, Ms. ZHANG Yan and Mr. BAI Shaoliang.''

The four new directors, namely Mr. CHEN Zhao, Ms. LI Qiwen, Mr. LI Zhentao and Mr. MAO Deyi, together with the other directors of CITIC Guoan Group*, have confirmed that they jointly and severally accept full responsibility for the accuracy of information contained in the Joint Announcement (other than the information relating to the Group, the Vendor and parties acting in concert with any one of them), and confirm, having made all reasonable enquiries, that to the best of their knowledge, opinions expressed in the Joint Announcement (other than the opinion expressed by the Group, the Vendor and parties acting in concert with any one of them) have been arrived at after due and careful consideration and there are no other facts not contained in the Joint Announcement, the omission of which would make any statement in the Joint Announcement misleading.

Except as stated above, the contents of the Joint Announcement remain unchanged.

As at the date of this joint announcement, the Board comprises 6 Directors, of which 2 are executive Directors, namely Mr. SY Ethan, Timothy and Mr. SUNG Yee Keung, Ricky, 1 is a non-executive Director, namely Mr. KO Wai Lun, Warren, and 3 are independent non- executive Directors, namely Mr. Andrew David ROSS, Mr. Geoffrey William FAWCETT and Mr. Charles Robert LAWSON.
