            Appointment of Certain Officers; Compensatory Arrangements of Certain
            Officers.

On January 1, 2020, FlexShopper, Inc. (the "Company") entered into a new employment agreement (the "Heiser Employment Agreement") with the Company's Chief Financial Officer, Russ Heiser, pursuant to which Mr. Heiser will continue to serve as the Company's Chief Financial Officer. A copy of the Heiser Employment Agreement is filed as Exhibit 10.1 to this report and incorporated herein by reference.
