Dance Broadcast System Inc. entered into a definitive agreement to acquire Frontier Beverage Company, Inc. in a reverse merger transaction.

Dance Broadcast System Inc. entered into a definitive agreement to acquire Frontier Beverage Company, Inc. (OTCPK:FBEC) in a reverse merger transaction on February 1, 2014. Under the terms, Dance Broadcast System will acquire 10,000 Series A Preferred shares of Frontier Beverage. This transaction will lead to control of 66.67% voting rights of Frontier Beverage being held by Dance Broadcast System irrespective of its outstanding shares.

The transaction has been accounted for as a reverse merger where Dance Broadcast Systems, Inc. is deemed to be the acquirer and the surviving entity for accounting purposes.
