On January 28, 2020, Enzo Biochem, Inc. announced that its board of directors has made a series of changes to the agenda for the upcoming annual meeting of shareholders of the Company. The Company added that as a result of these changes to the agenda, the Company proposes to shareholders: (1) to amend the bylaws to increase the size of the Board from 5 to 6 directors and provide the Board discretion to further increase the size of the Board to 7; (2) to elect both nominees of Harbert Discovery Fund, LP; and (3) upon shareholder approval of the board size increase, to elect co-founder and shareholder Barry Weiner and to appoint an independent director to be identified in the near future. The Company stated that in connection with these changes, Bruce Hanna, has decided to withdraw his candidacy. The Company added that the board would delay the annual meeting until February 25, 2020.
