Selection of an entity authorized to examine financial statements

The Management Board of ELEMENTAL HOLDING S.A. with the seat in Grodzisk Mazowiecki (hereinafter: "the Issuer" or "the Company") announces that on May 22th, 2016, the Company's Supervisory Board passed a resolution on selecting a company named Grant Thornton Frąckowiak spółka z ograniczoną odpowiedzialnością sp. k. [a limited liability company limited partnership] with the seat in Poznań at ul. Abpa Antoniego Baraniaka 88E, 61-131 Poznań (hereinafter: "the Auditor"), entered by the Polish National Chamber of Statutory Auditors on the list of entities authorized to examine financial statements under no. 3654, as an entity authorized to examine the Issuer's financial statements. An agreement on examination and review of financial statements shall be concluded with the abovementioned entity.

The scope of the agreement shall include an examination of the Company's financial statement and the consolidated financial statement of the Company's Capital Group for the fiscal year ending on December 31st, 2017 as well as a review of the Company's abridged interim financial statement and the abridged interim consolidated financial statement of the Company's Capital Group prepared as of June 30th, 2017.

The agreement shall be concluded for a specified period necessary to conduct the examination and review of the abovementioned financial statements.

The Issuer had previously made use of the Auditor's services in the scope of examining the Company's financial statement and the consolidated financial statement of the Company's Capital Group for the fiscal year of 2011 and 2017.

The Supervisory Board selected the entity authorized to examine financial statements according to binding provisions and professional standards.
