ANNOUNCEMENT

UPDATE OF THE PROPOSED A SHARE ISSUE

Reference is made to the announcements of Dynagreen Environmental Protection Group Co., Ltd.* (the ''Company'') dated 1 March 2016, 7 March 2016, 18 April 2016, 7 July 2016, 27 February 2017, and 9 January 2018 and the circulars of the Company dated 3 March 2016, 12 January 2017 and 10 January 2018 in relation to, amongst other things, the proposed initial public offering of not more than 116,200,000 A shares by the Company (the ''Proposed A Share Issue'').

The Company hereby announces that yesterday's review result for the Proposed A Share Issue of the Company by the Issuance Approval Committee of the China Securities Regulatory Commission (the ''CSRC'' )( 中國證監會發行審核委員會) was that the vote was temporarily deferred.

There is no assurance that the Proposed A Share Issue will proceed. Investors and potential investors in H Shares should not rely on information published or disseminated from the PRC when they deal, or contemplate dealing, in the H Shares or other securities of the Company and are advised to exercise caution in dealing in the H Shares. Further details about the Proposed A Share Issue will be disclosed by the Company in due course in the PRC and the relevant information will be made available concurrently by the Company in Hong Kong.

As at the date of this announcement, the non-executive Directors of the Company are Mr. Zhi Jun, Mr. Guo Yitao, Mr. Liu Shuguang and Mr. Feng Changzheng, the executive Directors of the Company are Mr. Qiao Dewei and Mr. Hu Shengyong and the independent non-executive Directors of the Company are Ms. Chen Xin, Mr. Kwan Kai Cheong and Mr. Ou Yuezhou.
