Update of the Declaration of Compliance of Dürr AG

with the German Corporate Governance Code

The Board of Management and the Supervisory Board last issued an update of the Declaration of Compliance in accordance with Section 161 German Stock Corporation Act (AktG) on October 5, 2022. This updated declaration is updated as follows:

According to Recommendation C.4 of the German Corporate Governance Code, a supervisory board member who is not a member of the board of management of a listed company shall not hold more than a total of five supervisory board positions or comparable functions [...]. It is anticipated that one member of the Supervisory Board, Dr Rolf Breidenbach, will not comply with this recommendation for a short period of time, expected to be from April 19, 2023 until mid-June 2023. During this period, there will be an overlap between a position from which he has already resigned and a new position that he has taken up. It is expected that Dr Rolf Breidenbach will again comply with the maximum limit of five positions from mid-June 2023.

In all other respects, the Declaration of Compliance of October 5, 2022, and its update of March 15, 2023 remain unchanged.
