Item 8.01. Other Events.

On May 8, 2023, the Company deposited $350,000 (the "Extension Payment") into the trust account of the Company which enabled the Company to extend the period of time it has to consummate its initial business combination by three months from May 8, 2023 to August 8, 2023 (the "Extension"). The Extension is the second of up to three three-month extensions permitted under the Company's governing documents and provides the Company with additional time to complete its initial business combination.

On May 8, 2023, the Company issued a press release to announce the extension of the period of time the Company has to consummate its proposed transaction to August 8, 2023.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
