ITEM 8.01 OTHER EVENTS

On December 31, 2022, our licensee, HuntPost.com ("HuntPost"), a company participating in our technology business incubator program, of which we own 15%, announced that HuntPost is in conversation with 17 trade show operators to acquire their shows. In total, the operators represent 60 shows and more than $20 Million in annual revenue.

We will be issuing a press release regarding the LOI after we file this Form 8-K, which press release is attached hereto as Exhibit 99.1.
