Country Garden Announces Proposed Issue of Senior Notes * * *

(3 January 2013-Hong Kong) Country Garden Holdings Company Limited ("Country Garden" or the "Group", SEHK stock code: 2007), one of the leading integrated property developers in China, has announced the proposed issue of senior notes with a ten-year maturity (the "Notes").
The Group intends to use the proceeds from the proposed issue of Notes to fund the redemption of its convertible bonds at maturity, existing and new property projects (including construction costs and land premiums) and for general corporate purposes.
The Board believes that the proposed issue of Notes represents a timely opportunity for the Group to supplement the funding of its growth and expansion plans. The Board also believes that the proposed issue of Notes will further extend the profile of the Group and improve its ability to access the international debt capital markets to support the growth of the Group in the future.
Goldman Sachs (Asia) L.L.C. and J.P. Morgan are the joint global coordinators of the proposed issue of Notes. Goldman Sachs (Asia) L.L.C., J.P. Morgan, BOC International and ICBC International Securities Ltd. are the joint lead managers and Goldman Sachs (Asia) L.L.C., J.P. Morgan, BOC International and ICBC International Capital Ltd. are the joint bookrunners of the proposed issue of Notes.

Singapore Exchange Securities Trading Limited ("SGX-ST").
