Item 2.01 Completion of Acquisition or Disposition of Assets.

On June 28, 2022, Cornerstone Building Brands, Inc. (the "Company") completed the previously announced sale of the Company's metal coil coatings business (the "Business") to BlueScope Steel North America Corporation, a Delaware corporation and subsidiary of BlueScope Steel Limited ("Purchaser"), for an aggregate purchase price of $500 million in cash, subject to certain customary adjustments (the "Coil Coatings Transaction"), in accordance with the terms of the Membership Interest Purchase Agreement, dated as of April 10, 2022, by and among Purchaser and the Company (the "Purchase Agreement").
