The board of directors of Glory Mark Hi-Tech (Holdings) Limited announced that on 5 December 2019: Mr. Yu Sanlong ("Mr. Yu") was appointed as an executive Director with immediate effect; Mr. Fan Xiaoling ("Mr. Fan") was appointed as an executive Director with immediate effect; Ms. Lee Jui-lan ("Ms. Lee") was appointed as an executive Director with immediate effect; and Dr. Yan Ka Shing ("Dr. Yan") was appointed as an independent non-executive Director with immediate effect. Mr. Yu, aged 45, has over 22 years of experience in the electronics industry. He has extensive experience in research and development and manufacture of electronic products and management of electronics companies in China, Hong Kong and Singapore.

Mr. Yu co-founded NIIP Limited, which is a private company incorporated in Hong Kong with limited liability focusing on provision of services regarding data encryption and password management to customers in North America, in April 2014. Mr. Yu is currently the director of NIIP Limited. Mr. Fan, aged 33, has over 11 years of experience in the electronics industry.

He has extensive experience in marketing, purchasing and supply chain management of electronics products in China. Mr. Fan is currently the director in supply chain management department of LTL Group, LLC and the project director of the Shanghai branch of LTL Group, LLC and his main duties are supply chain management of semi-conductors and electronic products. Ms. Lee, aged 57, has over 30 years of experience in the electronics industry.

She has extensive experience in software development, marketing electronic products and management of companies in Taiwan. She worked in Intertek Testing Services Taiwan Ltd., which is principally engaged in testing, inspecting and certifying electronic products, for more than 10 years with the last position of the general manager of the electronic business unit principally responsible for the overall management, which is a subsidiary of Intertek Group PLC. Dr. Yan, aged 34, has more than 8 years of experience in the medical industry and has been employed by the Hospital Authority in Hong Kong (the "Hospital Authority") since July 2011.

He completed his housemanship in the Hospital Authority from July 2011 to June 2012. Dr. Yan is currently an independent non-executive director, the chairman of the nomination committee, a member of the audit committee and a member of the remuneration committee of Victory Securities (Holdings) Company Limited, a company listed on the Stock Exchange. The Board announced that on 5 December 2019: Mr. He Yongyi ("Mr. He") resigned as an executive Director and the chief operation officer of the Company (the "Chief Operation Officer") with immediate effect, due to his intention to concentrate on his own business engagement; Mr. Kong Lixing ("Mr. Kong") resigned as an executive Director with immediate effect, due to his intention to retire; Mr. Zhao Guo Xing ("Mr. Zhao") resigned as an executive Director with immediate effect, due to his intention to concentrate on his own business engagement; and Mr. Pang Kuo Shi ("Mr. Pang") resigned as an executive Director with immediately effect.

Simultaneously with taking effect of the changes in directorship of the Company on 5 December 2019: Mr. He ceased to be a member of the remuneration committee of the Company (the "Remuneration Committee"); Mr. Kong ceased to be a member of the Remuneration Committee; Mr. Zhao ceased to be a member of the nomination committee of the Company (the "Nomination Committee"); Mr. Pang ceased to be a member of the Nomination Committee; Mr. Yu was appointed as a member of the Nomination Committee; Mr. Fan was appointed as a member of the Remuneration Committee; Ms. Lee was appointed as a member of the Remuneration Committee; and Dr. Yan was appointed as a member of the audit committee of the Company, Remuneration Committee and Nomination Committee. The Board announced that on 5 December 2019, Mr. David A. Moylan ("Mr. Moylan") was appointed as the Chief Operation Officer with immediate effect. Mr. Moylan, aged 52, has extensive experience and knowledge in managing corporate activities, including products and services, customers, operations, strategic interests, sales and marketing efforts; his executive experiencing across industries and countries, broad knowledge and operating experience in the technology and services industries; financial and operating acumen; and expertise in evaluating growth and operational initiatives.

Mr. Moylan is currently the chief executive officer, president and director of Dataram and was the chairman of Dataram from November 2014 through June 2017. The Board announced that on 5 December 2019, Mr. Wong Chun ("Mr. Wong") was re-designated as a non-executive Director and ceased to act as the chief executive officer of the Company (the "Chief Executive Officer") with immediate effect. Mr. Wong, aged 59, was one of the founders of the Group.

Mr. Wong is a member of the Nomination Committee and the Remuneration Committee and a director of certain subsidiaries of the Company. Mr. Wong is responsible for administration, finance and investment project management of the Group. He had worked as a chief officer of China affairs for two Hong Kong listed electronics companies, namely, Tomei International (Holdings) Limited and The Grande Holdings Limited.

He is presently serving as the Executive Committee Member and President of Mainland Hong Kong Economy and Trade Committee of the Chinese Manufacturers Association of Hong Kong, vice-chairman and the chairman of China Sub-Committee of the Hong Kong Electronic Industries Association, Life Honorary President of the Hong Kong Auto Parts Industry Association, GD Qingyuan City Committee of Chinese People Political Consultative Conference Executive Committee Member of Federation of Hong Kong Guangdong Community Organisations, Honorary Vice President of Federation of Qing Yuan Association. The Board announced that on 5 December 2019, Mr. Wong ceased to act as the compliance officer of the Company with immediate effect and Mr. Wang Li Feng ("Mr. Wang") was appointed as the compliance officer of the Company with immediate effect. The Board announced that on 5 December 2019, Mr. Wang and Mr. Man Yun Wah were appointed as the authorised representatives of the Company under Rule 5.24 of the GEM Listing Rules with immediate effect.
