CLARIFICATION ANNOUNCEMENT

This announcement is made by China Everbright International Limited (the "Company").

The Company has recently received several enquiries from the public in respect of a company called 瀋陽光大環保科技股份有限公司 (Shenyang Everbright Environment

Technology Co., Ltd*) ( the "Concerned Company"), which has purportedly been approved for quotation on the National Equities Exchange and Quotations* (全國中小企 業股份轉讓系統) (also known as the New Third Board (新三板)) by using the stock name "Everbright Environment* (光大環保)". The Company hereby states that the

Company does not have any relationship with the Concerned Company, and all the business of the Concerned Company was and is not related to the Company.

All shareholders and potential investors of the Company are advised to be cautious and should verify the identity of the company which they may deal with in making investments or transacting business.

As at the date of this announcement, the board of directors of the Company comprises: (i) five executive directors, namely Mr. Cai Yunge (Chairman), Mr. Chen Xiaoping (Chief Executive Officer), Mr. Wang Tianyi, Mr. Wong Kam Chung, Raymond and Mr. Cai Shuguang; (ii) a non-executive director, namely Mr. Tang Shuangning; and (iii) four independent non-executive directors, namely Mr. Fan Yan Hok, Philip, Mr. Mar Selwyn, Mr. Li Kwok Sing, Aubrey and Mr. Zhai Haitao.
