          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On February 2, 2021, Alan G. Spoon notified Cable One, Inc. (the "Company") of his decision to retire as a member of the board of directors (the "Board") of the Company, effective February 8, 2021. Mr. Spoon's decision to retire was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Board and senior leadership express their gratitude to Mr. Spoon for his distinguished service to the Company at various periods over the past 30 years, most recently his service as a director since 2015.
