BTS Group AB (publ) (OM:BTS B) agreed to acquire Coach In A Box Uk Limited on October 23, 2017. Under the terms of the agreement, of the initial purchase price, approximately 25% is paid in new BTS shares. The initial purchase price is subject to adjustments for net cash positions. An additional payment, which can partly be paid in new BTS shares, will be paid out in 2020 provided the acquired business meets specific targets 2017-2020. The deal will be partly financed using 0.21 million shares of the 0.24 million new class B shares of BTS. For the period ending June 30, 2017, Coach in a Box generated revenue of £9 million. Sue Stokely, Jerry Connor, and Lee Sears, the founding partners of Coach in a Box, have agreed to stay on for a minimum period of three years to help propel continued growth. Once completed, the acquisition is estimated to have a positive impact on BTS's earnings per share during 2018. Moore & Blatch acted as legal advisor and Assay Corporate Finance Limited acted as financial advisor to BTS Group in the transaction. Mike Simson of Assay Corporate Finance Limited acted as financial advisor to Coach in a Box Uk Limited.
