Boralex Inc. (TSX:BLX) entered into binding agreement to acquire 51% stake in Des Moulins and Le Plateau I Projects from Invenergy Renewables LLC on June 20, 2018. The projects comprises of 135.7 MW Des Moulins I wind farm project located in the MRC des Appalaches, Québec, 21.15 MW Des Moulins II wind farm project located in the MRC d'Avignon in Gaspésie, Québec and 138.6 MW Le Plateau I wind farm project located in the MRC d'Avignon in Gaspésie, Québec. In related transactions, Boralex entered into binding agreements to acquire interests in Le Plateau II and Roncevaux projects. The total consideration to be paid for all the acquisitions is CAD 215.4 million. The consideration is subject to adjustments. Boralex expects to finance the acquisition with a CAD 180 million public offering of subscription receipts and a CAD 45 million private placement of subscription receipts to la Caisse. The aggregate cash consideration for the Acquisition of CAD 215 million was financed using the net proceeds from the Corporation’s previously announced CAD 207 million public bought deal offering of subscription receipts completed through a syndicate of underwriters and a CAD 51.8 million concurrent private placement of subscription receipts with the Caisse de dépôt et placement du Québec. The transaction is subject to customary regulatory approvals and closing conditions. The transaction has been unanimously approved by the Directors of Boralex. All required approvals and consents for the Acquisition, including from the Competition Bureau of Canada, Hydro-Québec and the lenders under the credit agreements for the Projects, were obtained prior to the closing of the Acquisition. Transaction is expected to close in August 2018. The transaction is accretive to discretionary cash flow per share. The transaction would be at single digit accretion in 2019 and gradually increasing to high single-digit in or about 2022.
