ELECTION OF EMPLOYEE SUPERVISORS

The board of directors (the "Board") of Bank of Guizhou Co., Ltd. (the "Bank") hereby announces that:

Reference is made to the announcement of the Bank dated 14 April 2021 in relation to the proposed election of employee supervisor of the Bank ("Employee Supervisor"), pursuant to which, Ms. WU Fan ("Ms. Wu") was proposed to be elected as an Employee Supervisor of the Bank. Reference is also made to the announcement of the Bank dated 7 May 2021 in relation to the elections of the Board and the board of supervisors ("Board of Supervisors"), pursuant to which, among the members of the third session of the Board of Supervisors of the Bank, three employee supervisors will be elected by the employees of the Bank at the general meeting of employees' representatives by democratic election to join the third session of the Board of Supervisors directly.

In accordance with the Company Law of the People's Republic of China and other relevant requirements including the Articles of Association of the Bank, the Bank held the meeting of the employee representatives of the Bank on 12 May 2021, in which Ms. Wu, Ms. ZHANG Hui ("Ms. Zhang") and Mr. JIAO Zhengjun ("Mr. Jiao") were elected as the Employee Supervisors of the third session of the Board of Supervisors through democratic process by employees, and the performance period is the same as the term of office of the third session of the Board of Supervisors.

The biographical details of Employee Supervisors are set out in Appendix I to this announcement. Save as disclosed in this announcement, as of the date of this announcement and to the best knowledge of the Board, the aforesaid Employee Supervisors do not held any directorship in any other public companies the securities of which are listed on any securities market in Hong Kong or overseas in the past

three years; and the relationship between the aforesaid Employee Supervisors and the directors, supervisors, senior management and substantial shareholders of the Bank has been fully disclosed in this announcement, and there is no other relationship that need to be disclosed. As at the date of this announcement, each of Ms. Wu, Ms. Zhang and Mr. Jiao was considered to be interested in 500,000 domestic shares of the Bank within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). There is no information in relation to the appointments of the aforesaid Employee Supervisors which is required to be disclosed pursuant to the requirements set out in paragraphs 13.51(2) (h) to (v) of the Listing Rules, nor are there any matters which need to be brought to the attention of the Shareholders of the Bank.

The Bank will enter into a supervisor's service contract with each of the Employee Supervisors. The remunerations of Ms. Wu will be calculated as per Notice of the Guizhou Provincial Department of Finance on the Remuneration Management of Principals of Provincial-level Local Financial Enterprises ( 貴 州 省 財 政 廳 關 於 省 級 地 方 金 融 企 業 負 責 人 薪 酬 管 理 有 關 規 定), including basic annual salary, annual performance salary and tenure incentive income, which is specifically organized and carry out by the Guizhou Provincial Department of Finance on an annual basis performance appraisal and report to the provincial salary reform leading group ( 省 薪 酬 改 革 領 導 小 組) for approval and implementation. The remunerations of Ms. Zhang and Mr. Jiao will be determined based on the administrative measures on remuneration of the Bank, mainly including basic annual salary and annual performance salary, of which, the basic annual salary will be paid monthly and the annual performance salary will be pre-calculated monthly, reviewed quarterly, reassessed and settled annually. The remunerations of Employee Supervisors will be disclosed in the Bank's annual report each year.

Ms. WU Fan, born in August 1968, Ms. Wu worked in China Construction Bank ( 中 國 建 設 銀 行) ("CCB") from July 1992 to March 2013. In particular, she held a post in relation to international settlement and credit in the international business department of CCB Guizhou Branch from July 1992 to December 1995; and served as general manager assistant of the international business department and manager of the credit department of CCB Guizhou Branch from December 1995 to November 1996; deputy general manager of the international business department of CCB Guizhou Branch from November 1996 to May 1998; vice president of Chengbei Sub-branch directly under CCB Guizhou Branch from May 1998 to July 1999; deputy general manager of the international business department and vice president of Guiyang Jinyang Sub-branch of CCB Guizhou Branch from July 1999 to July 2001; deputy general manager of the international business department of CCB Guizhou Branch from July 2001 to February 2006; general manager of the international business department of CCB Guizhou Branch from February 2006 to June 2006; general manager of the corporate business department of CCB Guizhou Branch from June 2006 to July 2012; and served successively as secretary of the Party committee and president of branch of Guiyang Chengbei Sub-branch of CCB Guizhou Branch from July 2012 to February 2013; served as marketing director of the Bank from February 2013 to January 2014; and has been an assistant to the president of the Bank from January 2014 to April 2019 (during which, she concurrently served as general manager of Guiyang Management Department of the Bank from March 2014 to November 2014 and executive deputy secretary of the Party committee of Guiyang Management Department of the Bank from November 2014 to March 2016). Ms. Wu graduated with a bachelor's degree majoring in systems engineering from Shanghai Institute of Mechanical Engineering ( 上 海 機 械 學 院) (currently known as University of Shanghai for Science and Technology ( 上 海 理 工 大 學)) in July 1989 and a master's degree majoring in systems engineering from Shanghai Institute of Mechanical Engineering (currently known as University of Shanghai for Science and Technology) in June 1992. Ms. Wu has a title of senior economist.

Ms. ZHANG Hui, born in October 1973, Ms. Zhang worked in CCB from July 1994 to December 2012. In particular, he served as a clerk of the business office and the credit management section of Agricultural Bank of China Xiaohe Sub-branch in Guiyang from July 1999 to July 2003; a clerk and deputy director clerk of the legal affairs division of Agricultural Bank of China Guizhou Branch from July 2003 to July 2006; a director clerk and section chief of the legal and compliance division of Agricultural Bank of China Guizhou Branch from July 2006 to July 2008; assistant to division chief of the legal and compliance division of Agricultural Bank of China Guizhou Branch from July 2008 to March 2009; assistant to general manager of the legal affairs department of Agricultural Bank of China Guizhou Branch from March 2009 to December 2009; deputy general manager of the legal affairs department of Agricultural Bank of China Guizhou Branch from December 2009 to April 2012; and deputy general manager of the credit card centre of Agricultural Bank of China Guizhou Branch from April 2012 to March 2013.
