Envestra Limited Scheme Booklet sent to shareholders

The Envestra Limited (Envestra) Scheme Booklet covering the proposed Scheme of Arrangement under which APA Group would acquire all Envestra shares not already held by APA Group (Scheme) was mailed to all Participating Envestra Shareholders on 10 April 2014, together with a proxy form for the Scheme Meeting and an election form. The Scheme Booklet was released via the ASX and posted on Envestra's website (www.envestra.com.au) on Monday 7 April.

Participating Envestra Shareholders (being all Envestra shareholders other than APA Group) should read the Scheme Booklet, which sets out detailed information about the Scheme, including reasons why shareholders might vote in favour of, or against, the proposal. Scheme Meeting

The Scheme Meeting has been convened for 10.00am (Adelaide time) on Tuesday, 13 May 2014 at Riverbank Rooms 1-3, Adelaide Convention Centre, North Terrace, Adelaide, South Australia.
Participating Envestra Shareholders who are unable to attend the Scheme Meeting can vote by completing and returning the proxy form that accompanies the Scheme Booklet, or submit their proxy vote online at www.linkmarketservices.com.auor www.envestra.com.au, by 10.00am (Adelaide time) on Sunday, 11 May 2014.

Scheme Consideration Elections

Participating Envestra Shareholders can choose the form of their Scheme Consideration by completing and returning the Election Form that accompanies the Scheme Booklet (or by making their Election online at www.envestra.com.au) in accordance with the instructions set out on the Election Form, by the Election Date, currently expected to be 4.30pm (Adelaide time) on 23 May 2014.
