          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On May 18, 2020, Kip Testwuide submitted his resignation from his position as a member of the Board of Directors (the "Board") of alpha-En Corporation (the "Company"), effective immediately. Mr. Testwuide did not resign as a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
