VOLUNTARY ANNOUNCEMENT

LAUNCH OF GAMEPIND PLATFORM IN INDIA ON PAYTM

This is a voluntary announcement made by AGTech Holdings Limited to inform the Shareholders and potential investors of the latest business updates of the Group.

The Gamepind Platform has been launched on 29 January 2018 by the JV Company in India to facilitate online users to participate in and play various casual games while enjoying online shopping at the same time.

This is a voluntary announcement made by AGTech Holdings Limited (the "Company", together with its subsidiaries, the "Group") to inform the Shareholders and potential investors of the latest business updates of the Group.

Reference is made to the announcement of the Company dated 24 July 2017 (the "Announcement") regarding the entering into of the JV Agreement between the Company, AGTech Media (a wholly-owned subsidiary of the Company) and Paytm Holding, whereby the JV Company which is owned as to 45% by the Group and as to 55% by Paytm Group respectively shall be jointly formed. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings ascribed to them in the Announcement.

The board (the "Board") of directors (the "Directors") of the Company is pleased to announce that the JV Company has been officially incorporated in India, whose principal businesses are developing and operating platforms for users to participate in and play various games. In order to develop and operate the business of the JV Company, Paytm Group shall leverage its access to and resources in the businesses operated by Paytm Group and the Group shall leverage its technical abilities and experience in developing systems, platforms and related commercial operations.

The JV Company launched the mobile entertainment platform, Gamepind (the "Gamepind Platform"), on 29 January 2018, which provides online users with a unique online experience combining casual games and online shopping. Through the Gamepind Platform, online users may purchase products or services from merchants at special discounts through engaging in various types of casual games and other online activities offered, and experience an innovative entertainment and shopping model. The Gamepind Platform allows merchants to market and promote their products or services through various marketing models.

Through the JV Company, the Group expands its businesses to India, the second most populous country in the world, aiming to capture the opportunities arising from the fast-growing mobile entertainment market and increasing interest in mobile games from Indian customers.

The JV Company and its launch of the Gamepind Platform signal the first significant strategic global business expansion of the Group since becoming a member of the Alibaba Group. Further, this JV Company lays the foundation for future international business collaborations for the Group as it continues to globalize its business by strategically working with leading local partners in selected overseas markets.

Holders of the shares or other securities of the Company and potential investors are advised to exercise caution when dealing in the shares or other securities of the Company.
