Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On May 23, 2023, Achari Ventures Holdings Corp. I, a Delaware company (the "Company") received a letter from the Nasdaq Listing Qualifications department of the Nasdaq Stock Market LLC ("Nasdaq") indicating that the Company was not in compliance with Listing Rule 5250(c)(1), as a result of the Company's delay in filing its Form 10-Qfor the period ended March 31, 2023.

On May 26, 2023, the Company filed its Form 10-Qfor the period ended March 31, 2023 with the Securities and Exchange Commission.
