Griffin Capital Essential Asset REIT, Inc. (the "Registrant") sent a letter
dated January 15, 2021 to the Registrant's Class AA stockholders recommending to
them not to accept an unsolicited offer to purchase shares of Class AA common
stock of the Registrant at a price of $6.01 per share in cash. A copy of the
letter is filed herein as Exhibit 99.1.
Pursuant to the rules and regulations of the Securities and Exchange Commission,
