(b) On January 7, 2021, Amy Pott notified the Board of Directors (the "Board")
of Wave Life Sciences Ltd. (the "Company") of her resignation from the Board and
the compensation committee thereof, effective as of January 8, 2021. Her
resignation resulted from having accepted a new position at Audentes
Therapeutics, an Astellas company, and potential conflicts of interest
therewith. Her resignation did not result from any disagreement with the Company
on any matter relating to the Company's operations, policies, practices or
otherwise.
