We refer to our reply to query dated 10 January 2012 and are pleased to provide the additional information on Cocoarich as set out in the attachment herein.
On 6 January 2012, GCB had entered into a SSA with the Vendors for the purchase of Sale Shares in Cocoarich for a purchase consideration of RM10 million only. Prior to the Acquisition, Cocoarich was the registered and beneficial owner of 10% equity interest in PT Asia and GCBCS, a wholly owned subsidiary of GCB Oversea Holdings Corporation which in turn a wholly subsidiary of GCB was the registered and beneficial owner of the remaining 90% equity interest in PT Asia. The completion of the Acquisition will render PT Asia to become a wholly owned subsidiary of GCB subsequently.
