FURTHER DELAY IN DESPATCH OF CIRCULAR IN RELATION TO DISCLOSEABLE AND CONNECTED TRANSACTION

Reference is made to the announcements of the Company dated 28 November 2016 and 30 December 2016 in relation to the Disposal, which constituted a discloseable and connected transaction on the part of the Company (the "Announcements"). Unless otherwise stated, terms used herein have the same meaning as defined in the Announcements.

As disclosed in the Announcements, it was expected that the circular (the "Circular") containing, among other things, (i) details of the Disposal and the acquisition of the Convertible Bonds; (ii) the recommendation of the Independent Board Committee to the Independent Shareholders; (iii) the letter from an independent financial advisor containing its advice to the Independent Board Committee and the Independent Shareholders; and (iv) the notice of SGM was to be despatched to the Shareholders on or before 20 January 2017. As additional time is required for the parties to finalise certain information in the Circular, the Company expects that the despatch of the Circular will be delayed from 20 January 2017 to on or before 28 February 2017.
