CLARIFICATION ANNOUNCEMENT

Reference is made to the announcement of Sheng Yuan Holdings Limited (the "Company") dated 25 October 2018 (the "Announcement") in relation to the (1) major transaction in relation to the proposed acquisition of 80% of the equity interest in a financial leasing company in the PRC; (2) issue of consideration shares under specific mandate; and (3) continuing connected transactions.

Unless otherwise stated, terms used in this clarification announcement shall have the same meanings as those defined in the Announcement.

The Company would like to clarify that there was an inadvertent mistake regarding the shareholder of Vendor 2 on page 14 of the Announcement and wishes to clarify that Vendor 2 should be ultimately owned by Mr. Guo instead of Mr. Guo Shi Chang (ெ˰׹ ), the son of Mr. Guo and Ms. Xuan.

Save for the aforesaid, the Company confirms that there is no other clarification that is required to be made regarding the Announcement.
