Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 20, 2021, Sprouts Farmers Market, Inc. (the "Company") provided
notice to Brandon Lombardi, the Company's Chief Legal Officer, that the Company
had elected not to renew the term of Mr. Lombardi's employment agreement, as
amended (the "Agreement") for an additional one-year term pursuant to the terms
of the Agreement. Upon the expiration of the Agreement's current term on
January 23, 2021, as with the Company's other executive officers, Mr. Lombardi
will be employed on an at-will basis, and he will continue to serve in his
capacity as the Company's Chief Legal Officer under substantially the same
compensatory terms as contained in the Agreement. Mr. Lombardi is also eligible
to participate in the Company's Amended and Restated Executive Severance and
Change in Control Plan.
