BUSINESS UPDATE -

POSSIBLE ACQUISITION AND CONNECTED TRANSACTION

The board of directors (the "Board") of LT Commercial Real Estate Limited (the "Company") wishes to provide update on the business development of the Company to its shareholders and potential investors.

As at the date hereof, the Company is in negotiation with Mr. Yang Longfei, being an executive director, chairman, chief executive officer and controlling shareholder of the Company, for a possible acquisition of his interests in certain property development companies, which holds interests in certain landed properties mainly comprising of office towers, hotels and shopping malls located in Shijiazhuang and Tangshan cities, the People's Republic of China (the "Possible Acquisition").

No binding agreement has been signed by the parties in relation to the Possible Acquisition as at the date hereof and the parties are in the process of negotiating for the terms of the Possible Acquisition.

The Board wishes to emphasis that no binding agreement in relation to the Possible Acquisition has been entered into as at the date of this announcement. As such, the Possible Acquisition may or may not proceed. If the Possible Acquisition materialises, it will constitute a notifiable and connected transaction on the part of the Company pursuant to the Listing Rules. Further announcement in respect of the Possible Acquisition will be made by the Company in the event that any formal agreement has been signed.

Shareholders and potential investors of the Company are advised to exercise caution when dealing in the securities of the Company.
