(Stock code: 145) SUPPLEMENTAL AGREEMENT CONCERNING PLACING OF NEW SHARES UNDER GENERAL MANDATE Placing Agent

Reference is made to the announcement of The Hong Kong Building and Loan Agency Limited (the "Company") dated 29 December 2016 (the "Announcement") in relation to the Placing.

Capitalized terms used herein shall have the same meanings as those defined in the Announcement unless defined otherwise.

THE SUPPLEMENTAL AGREEMENT

On 11 January 2017 (after trading hours), the Company and the Placing Agent entered into a supplemental agreement (the "Supplemental Agreement") to the Placing Agreement pursuant to which the Company and the Placing Agreement agreed to amend the Placing Agreement to remove the requirement that each Placee shall not become a substantial shareholder of the Company as a result of the Placing.

Save for the information disclosed above, all other terms and conditions of the Placing Agreement shall remain unaltered and be in full force and effect.
