Fitch Ratings has upgraded three classes of Banc of America Large Loan, Inc. Trust 2009-FDG, commercial mortgage pass-through certificates, series 2009-FDG (BALL 2009-FDG). In addition, all classes are placed on Rating Watch Negative as follows:

--$323.5 million class A 'AAAsf' placed on Rating Watch Negative;

--$30 million class B to 'AAAsf from 'AAsf'; Rating Watch Negative;

--$33 million class C to 'AAAsf from 'Asf'; Rating Watch Negative;

--$47 million class D to 'AAAsf from 'BBB-sf'; Rating Watch Negative.

KEY RATING DRIVERS

The rating actions are due to the full defeasance of all the remaining underlying collateral. The ratings are now tied to Fitch's rating of the United States of America's (U.S.) sovereign debt, currently rated 'AAA' Rating Watch Negative. RATING SENSITIVITY

Future rating actions will occur along with Fitch's rating of the U.S. sovereign debt. Fitch is expected to resolve the Rating Watch Negative as stated in the above mentioned rating action commentary.
