PASSING AWAY OF AN EXECUTIVE DIRECTOR

The board of directors (the "Board") of D&G Technology Holding Company Limited (the "Company", and its subsidiaries, the "Group") announces with the deepest sorrow that Mr. Yu Ronghua ("Mr. Yu"), an executive director of the Company, passed away on 13 January 2018.

The late Mr. Yu joined the Board as an executive director in September 2014. Mr. Yu was also a general manager responsible for strategic and planning matters of the Group. On behalf of the Company, the Board wishes to express its sincere appreciation to Mr. Yu for his invaluable contributions to the Company during his tenure of office. The Board and staff of the Group extend their heartfelt condolences to Mr. Yu's family.

The executive and management duties of Mr. Yu will be shared among other executive directors and the management team of the Company respectively. The Board is of the view that the passing away of Mr. Yu will not have a material impact on the operations of the Group.
