Current Report No. 1/2012 Re: Information on registration of amendments in the Bank's Articles of Association Legal basis: Article 56 clause 1 (2) of the Act dated July 29, 2005 on Public Offering and Conditions Governing Introduction of Financial Instruments into Organized Trading System and Public Companies.
Pursuant to paragraph 38 clause 1 (2) of the Minister of
Finance dated February 19, 2009 on current and periodic
information published by issuers of securities and the
conditions for regarding as equivalent the information
required by the law of a non-member state (Journal of Laws of
2009, No. 33, item 259, as amended), the Management Board of
Bank Handlowy w Warszawie S.A. hereby informs it has been
notified that by means of the Decision of December 28, 2011
of the District Court for the capital city of Warsaw, 12th
Business Division of the National Court Register, the
amendment made to the Articles of Association of Bank
Handlowy w Warszawie S.A. have been registered, as adopted by
the Extraordinary Meeting of Shareholders of Bank Handlowy w
Warszawie S.A. on September 12, 2011 under the Resolution No.
6.
The registered amendment in the Articles of Association
concerns decision on amendment to
§ 13 clause 4.
The previous wording of the § 13 clause 4 along with the
amended wording of the provision has been presented in the
Appendix hetero.
§ 13 clause 4. of the Bank's Articles of Association -
previous wording:
"4. The detailed procedure thereof shall be provided for in
regulations to be resolved upon by the General Meeting of
Shareholders.
§ 13 clause 4. of the Bank's Articles of Association shall
have the following wording:
"4. The Bank may organize a General Meeting in a manner
allowing the shareholders to participate in the General
Meeting by means of electronic communication, in particular
by:
1. transmitting the General Meeting on-line;
2. two-way on-line communication allowing the shareholders to
use means of electronic communication, remote speaking during
the General Meeting;
3. voting personally or by proxy, before or during the
General Meeting."
